NOKIA PRODUCTIONS SWEEPSTAKES OFFICIAL RULES 1. NO PURCHASE NECESSARY. PURCHASE WILL NOT ENHANCE CHANCES OF WINNING. TO ENTER, YOU MUST READ AND AGREE TO THE FULL OFFICIAL RULES BELOW. 2. ELIGIBILITY: The Nokia Productions Sweepstakes (the "Sweepstakes”), brought to you by Nokia Inc., (“Sponsor”) is governed by these Official Rules. THE SWEEPSTAKES PERIOD: The Sweepstakes begins on April 24, 2008 at 9:00:00 a.m. Central Time (CT) and concludes at 2:59:59 p.m. CT on August 21, 2008 ("Sweepstakes Period"). The computer of Yahoo! is the official timekeeping device for this Sweepstakes. Entry during the Sweepstakes Period will be divided into three (3) periods (“Acts”) as follows: Act 1: April 24, 2008 – May 14, 2008; Act 2: June 12, 2008 – July 2, 2008; Act 3: July 31, 2008 – August 20, 2008. A day during the Sweepstakes Period will begin at 9:00:00 a.m. CT and end the following day at 8:59:59 a.m. CT (hereafter, a “Day”). TO ENTER: There are two ways to enter: (a) Internet: Each eligible photo, video or audio file created originally by you or as a collaboration content between you and other entrants and uploaded to the www.nokiaproductions.com (“Web Site”) will be entered into the Sweepstakes. Eligible entries will be included in both the weekly and grand prize drawings as referenced in Rule #7. To enter, go to the Web Site during the Sweepstakes Period and click on the “Community” button to go to the Sweepstakes group page on Jumpcut.com (“Jumpcut”). If you are already a member of the Nokia Productions group, click “Upload” then follow the instructions to upload your entry and publish it on the Nokia Productions group. If you are an existing Jumpcut user but are not a member of the Nokia Productions group, click “Join This Contest”, then complete the information on the Nokia Productions Join Group page. Return to the Nokia Production group, then select “Upload” and follow the instructions to upload your entry and publish it to the Nokia Productions group. If you are not an existing Jumpcut user, you will be required to create a Jumpcut ID, agree to the Jumpcut Terms of Use, located at http://jumpcut.com/company/terms, and the Yahoo! Privacy Policy, located at http://privacy.yahoo.com/ and create, free of charge, a Yahoo! ID (“Sweepstakes ID”) to be able to submit an entry into the sweepstakes. Once you are registered, join the group associated with this Sweepstakes by returning to the Nokia Productions group page and clicking the “Join This Contest” link. You will need to review these Official Rules and check the box indicating “I Accept These Rules & Regulations” and complete the requested registration information. The registration fields consist of first name, last name, address, city, state, zip, email address, date of birth and a few survey questions in which entrant may need to provide mobile phone number, if user is a Nokia mobile phone owner, Nokia phone model, Nokia purchase date, and service provider. By entering this Sweepstakes, you agree to the Privacy Policy of Sponsor available at http://www.nokiausa.com/A4411013. Once you have completed the registration process, return to the Nokia Productions group, click “Upload” and follow the instructions to upload your entry and publish it to the Nokia Productions group. The quality of the entry does not impact your chance of winning a prize in the Sweepstakes. (b) Mail-In: Consumers who wish to participate without uploading a photo should send a 3”x5” hand-printed card with their full name, address, city, state, zip code and day and evening phone numbers to: Nokia Productions Sweepstakes, P.O. Box 1495, Young America, MN 55558-1495. Entries must be postmarked by the end date of each Week (as defined in Rule #2) and received no later than five business days from the end date of the week to be eligible for drawings. Enter as often as you like, but each entry must be mailed separately in a hand addressed, stamped envelope. No photocopied or mechanically reproduced entries will be accepted. No responsibility is assumed by Sponsor for lost, late, illegible or misdirected entries. Participants may opt-in to receive email communications from Nokia. Participants can be removed from the email communications at any time by following the instructions as stated within the email. Opting to be removed from the email communications will not affect chances of winning. Sponsor shall not be held responsible for any delays in uploading to the Web Site. No other methods of entry are valid. Entries must be received and recorded during the Sweepstakes Period and Acts in order to be eligible. Limit one (1) entry per person/Yahoo! ID per day. In the event of a dispute regarding the identity of a potential prize winner, the winner will be determined based on the authorized account holder of the Yahoo! ID used to enter the Sweepstakes. Each entry needs to be materially different (i.e., underlying idea and/or creative execution are not the same) from previously submitted materials to be eligible. Duplicate entries will not be eligible. The original entry submitted will be included while all duplicate entries will be disqualified. 5. ENTRY REQUIREMENTS: By submitting a Photo, Video or Audio File entry in the Sweepstakes, you hereby warrant and represent that your entry conforms to the requirements set forth herein. All Photo entries must be in the following file formats: .jpg, .gif, .png, .tiff or .bmp. All Video entries must be in the following file formats: .mpg, .mpeg, .mp4, .avi, .wmv, .flv, .rm, or 3GP. All Audio entries must be in the following file formats: .aiff, .wav or .ogg. All entries must be in English, no less than 30 seconds and no more than 100 mb or 10 minutes in length. Videos and Audio using any copyrighted song tracks, other than those provided by the Sponsor at www.nokiaproductions.com located under the “Film & Movie” section will be disqualified. Videos with a mix of audio (that is not provided by Sponsor) but is original to the user or provided by on the site will be accepted. Once entries have been submitted, entrant will not be able to access or change their submission. Submissions must comply with the Jumpcut Terms of Use. In the event of a conflict between these Official Rules and the Jumpcut Terms of Use, these Official Rules will control. Video/Audio/Photo must meet the following requirements:

By submitting a Photo, Video or Audio entry, you warrant and represent that it: (a) is your original work (or legally incorporates third party works in accordance with Yahoo!'s Content Upload Service Terms of Service found at http://www.jumpcut.com/company/terms); (b) has not been previously published; (c) has not won previous awards; (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that publication of the Photo, Video or Audio via various media including Web posting, will not infringe on the rights any third party rights; and (f) that you have obtained permission from any person appearing in the Video, Audio or Photo. Any such entrant will indemnify and hold harmless, Sponsor from any claims to the contrary. 6. POSTING OF ENTRIES ON WEB SITE: Entries may be posted on the Web Site during the Sweepstakes Period and users will have the opportunity to view and rate the entries. NO PRIZES WILL BE AWARDED BASED ON THE RATING. Rating postings are not considered entries for the purposes of this Sweepstakes. 7. RANDOM DRAWINGS: (a) Weekly Drawings - Weekly Winners will be selected in random drawings to be held on or about seven (7) business days following the conclusion of a Week from all eligible entries received during a Week, by an independent judging agency, whose decisions are final and binding in all matters relating to this Sweepstakes. All non-winning entries from one Week will be included in the following Week's drawing (if any). (b) Grand Prize Drawings - Grand Prize Winners will be selected in random drawings to be held on or about seven (7) business days following the conclusion of an Act, from all eligible entries received during the Act, by an independent judging agency, whose decisions are final and binding in all matters relating to this Sweepstakes. All non-winning entries from one Act will be included in the following Act's Grand Prize drawing (if any). Winners will be notified by mobile phone, mail or email on or about two (2) weeks after the drawing has been conducted. If Winner is a minor in his/her state of residence, the winner’s parent or legal guardian will be required to sign and return Affidavit of Eligibility on his or her behalf. Grand Prize Winners or their parents or legal guardians will be required to complete, sign, and return an Affidavit of Eligibility, a Liability Release and, where lawful, a Publicity Release within seven (7) days after notification. If documents are not returned on a timely basis, or if any prize notification or prize is returned as non-deliverable, or if winner is found to be ineligible or not in compliance with these Official Rules, such prize will be forfeited. Any guests will also be required to complete and sign a liability release within the same time period. If a guest is a minor, the liability release must be completed by his/her parent or legal guardian. Any minor or guest must be accompanied by a parent or legal guardian. Taxes on a prize are solely the responsibility of the winner. 8. PRIZE DETAILS: Grand Prizes (15 Prizes, 5 Prizes per Act): Trip for Winner and one (1) guest to Los Angeles, California to attend the Nokia Productions Premiere. Prize includes: round trip coach airfare from airport nearest winner’s home to Los Angeles, CA, hotel accommodations (single room; double occupancy) for two (2) nights, ground transportation to/from hotel and to/from the premiere, $700 cash (awarded in the form of a check to the winner) and a Nokia N95 8GB (no mobile phone service included). If winner lives within 100 miles of destination city, airfare and hotel portion of prize will be forfeited with no additional compensation being paid in exchange therefore. Travel scheduled to occur between September and November 2008. Exact dates to be determined at a later date by Sponsor, in Sponsor’s sole discretion, and based on availability. Winners must accept prize as specified and travel on dates specified by Sponsor or prize will be forfeited. Travel, accommodations and premier seating subject to change and availability, and restrictions may apply. Meals, gratuities and all other expenses not specified herein are winner’s responsibility. Actual value of prize depends on city, date and time of departure. The difference between any stated prize value and actual prize value will not be awarded. Approximate Retail Value (ARV) $4,350 each. Weekly Prizes: (60 Prizes, 20 Prizes Per Week): Winner will receive a Nokia Music Pack to include: one (1) Nokia 5310 phone (unlocked) (no mobile phone service included), one (1) Nokia Bluetooth headset and one (1) music download card from EMI. Approximate Retail Value (“ARV”) $320 each. The following applies to all prizes: Prizes cannot be assigned, transferred, redeemed for cash, or substituted except by Sponsor who may, at its sole discretion, substitute any prize with one of comparable value if the advertised prize becomes unavailable for any reason. Odds of winning depend on the number of eligible entries received. Limit one (1) grand prize per person/address/household for the entire Sweepstakes Period. Limit one (1) weekly prize per person/address/household. All unclaimed prizes or prize notifications will result in prize being forfeited. The total ARV of all prizes is $84,450.00. By accepting a prize, the winnergrees that his/her entry will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the winner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her entry, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Winner hereby waives in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that winner may now or later have to their submission. Sponsor reserves the right to alter, change or modify the winning entry, in its sole discretion. Upon request of Sponsor, winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the submission and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment. Further, Sponsor may request from winner, that the winner secure from any model(s) or videographer/audiographer an irrevocable assignment and transfer to Sponsor all of any model(s) or videographer/audiographer’s right, title and interest in and to the winner’s entry, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. The model(s) or videographer/audiographer may be required to waive in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that the model(s) or videographer/audiographer may now or later have in the Video. Should Sponsor fail to request the said model(s) assignment or videographer/audiographer assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment(s). PHOTO/VIDEO/AUDIO ENTRIES POSTED TO THE WEB SITE ARE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants. By submitting a Photo, Video or Audio entry, you agree that your entry is gratuitous and made without restriction, and will not place Sponsor under any obligation that Sponsor is free to disclose or otherwise disclose the ideas contained in the entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. 9. CONDITIONS OF PARTICIPATION: Participants agree (a) to these Official Rules and the decisions of Sponsor which are final and binding, (b) that Sponsor, Yahoo! Inc., their parent, subsidiary and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, are released and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes or Sweepstakes-related activities, including any travel related thereto, or use of the Photo, Video or Audio entry and (c) except where legally prohibited, winners grants (and agree to confirm that grant in writing) permission to Sponsor and those acting under Sponsor’s authority the right to the use of his/her name, photograph, likeness, voice, image and biographical information and statements and the Video, Audio or Photo entry for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet and World Wide Web, without notice, review or approval. 10. GENERAL PROVISIONS: Neither Sponsor nor its agencies are responsible for not receiving or correctly uploading entries, no matter what the reason even if known in advance, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of entry or the failure to capture any such information. Persons who tamper with any aspect of the Sweepstakes, as solely determined by the Sponsor, or who attempt to participate with multiple email addresses or under multiple identities will be disqualified. Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries and disqualify any entrant using such methods. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes. GOVERNING LAW AND ARBITRATION: This Sweepstakes will be governed by and interpreted under the laws of the State of Texas, without application of any conflicts of law rules. Disputes between the parties or their affiliates related to this Sweepstakes shall be submitted to final, binding arbitration heard by a single arbitrator in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association (except as modified herein). Any counterclaim not brought within thirty (30) days after receipt of the arbitration notice shall be barred. The arbitration shall be conducted in Dallas County, Texas in English. Unless otherwise specified herein, the arbitrator may award any relief that he deems proper, including but not limited to equitable relief. By submitting a Photo, Video or Audio entry, you warrant and represent that it: (a) is your original work (or legally incorporates third party works in accordance with Yahoo!'s Content Upload Service Terms of Service found at http://www.jumpcut.com/company/terms); (b) has not been previously published; (c) has not won previous awards; (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that publication of the Photo, Video or Audio via various media including Web posting, will not infringe on the rights any third party rights; and (f) that you have obtained permission from any person appearing in the Video, Audio or Photo. Any such entrant will indemnify and hold harmless, Sponsor from any claims to the contrary. 6. POSTING OF ENTRIES ON WEB SITE: Entries may be posted on the Web Site during the Sweepstakes Period and users will have the opportunity to view and rate the entries. NO PRIZES WILL BE AWARDED BASED ON THE RATING. Rating postings are not considered entries for the purposes of this Sweepstakes. 7. RANDOM DRAWINGS: Weekly Winners will be selected in random drawings to be held on or about seven (7) business days following the conclusion of a Week from all eligible entries received during a Week, by an independent judging agency, whose decisions are final and binding in all matters relating to this Sweepstakes. All non-winning entries from one Week will be included in the following Week's drawing (if any). Winners will be notified by mobile phone, mail or email on or about two (2) weeks after the drawing has been conducted. If Winner is a minor in his/her state of residence, the winner’s parent or legal guardian will be required to sign and return Affidavit of Eligibility on his or her behalf. If documents are not returned on a timely basis, or if any prize notification or prize is returned as non-deliverable, or if winner is found to be ineligible or not in compliance with these Official Rules, such prize will be forfeited. Taxes on a prize, if any, are solely the responsibility of the winner. 8. PRIZE DETAILS: Weekly Prizes: (20 Prizes Total; 5 Per Drawing): Winner will receive a Nokia Music Pack to include: one (1) Nokia 5310 phone (unlocked) (no mobile phone service included), one (1) Nokia Bluetooth headset and one (1) music download card from EMI. Approximate Retail Value (“ARV”) $320 each. Prizes cannot be assigned, transferred, redeemed for cash, or substituted except by Sponsor who may, at its sole discretion, substitute any prize with one of comparable value if the advertised prize becomes unavailable for any reason. Odds of winning depend on the number of eligible entries received. Limit one (1) weekly prize per person/address/household. All unclaimed prizes or prize notifications will result in prize being forfeited. The total ARV of all prizes is $6,400.00. By accepting a prize, the winnergrees that his/her entry will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the winner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her entry, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Winner hereby waives in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that winner may now or later have to their submission. Sponsor reserves the right to alter, change or modify the winning entry, in its sole discretion. Upon request of Sponsor, winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the submission and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment. Further, Sponsor may request from winner, that the winner secure from any model(s) or videographer/audiographer an irrevocable assignment and transfer to Sponsor all of any model(s) or videographer/audiographer’s right, title and interest in and to the winner’s entry, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. The model(s) or videographer/audiographer may be required to waive in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that the model(s) or videographer/audiographer may now or later have in the Video. Should Sponsor fail to request the said model(s) assignment or videographer/audiographer assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment(s). PHOTO/VIDEO/AUDIO ENTRIES POSTED TO THE WEB SITE ARE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants. By submitting a Photo, Video or Audio entry, you agree that your entry is gratuitous and made without restriction, and will not place Sponsor under any obligation that Sponsor is free to disclose or otherwise disclose the ideas contained in the entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. 9. CONDITIONS OF PARTICIPATION: Participants agree (a) to these Official Rules and the decisions of Sponsor which are final and binding, (b) that Sponsor, Yahoo! Inc., their parent, subsidiary and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, are released and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes or Sweepstakes-related activities, including any travel related thereto, or use of the Photo, Video or Audio entry and (c) except where legally prohibited, winners grants (and agree to confirm that grant in writing) permission to Sponsor and those acting under Sponsor’s authority the right to the use of his/her name, photograph, likeness, voice, image and biographical information and statements and the Video, Audio or Photo entry for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet and World Wide Web, without notice, review or approval. 10. GENERAL PROVISIONS: Neither Sponsor nor its agencies are responsible for not receiving or correctly uploading entries, no matter what the reason even if known in advance, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of entry or the failure to capture any such information. Persons who tamper with any aspect of the Sweepstakes, as solely determined by the Sponsor, or who attempt to participate with multiple email addresses or under multiple identities will be disqualified. Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries and disqualify any entrant using such methods. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes. In case of dispute, the authorized subscriber of the Yahoo! ID used to enter the Sweepstakes at the actual time of entry will be deemed to be the participant, and must comply with these Official Rules. 11. GOVERNING LAW AND ARBITRATION: This Sweepstakes will be governed by and interpreted under the laws of the State of Texas, without application of any conflicts of law rules. Disputes between the parties or their affiliates related to this Sweepstakes shall be submitted to final, binding arbitration heard by a single arbitrator in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association (except as modified herein). Any counterclaim not brought within thirty (30) days after receipt of the arbitration notice shall be barred. The arbitration shall be conducted in Dallas County, Texas in English. Unless otherwise specified herein, the arbitrator may award any relief that he deems proper, including but not limited to equitable relief. The award shall be final and binding and enforceable in any court of competent jurisdiction. 12.
